Invorce

Terms of Service

Last updated: 26 October 2025

We know nobody actually reads these, but we've tried to make ours as straightforward and fair as possible. We're not trying to trick you - we're just a small team building invoicing software. If anything seems unclear or unfair, please let us know at legal@invorce.com.

1. The Basics

By using Invorce, you're agreeing to these terms. If something doesn't sit right with you, please reach out to us before using the service - we're happy to explain or discuss.

2. What Invorce Does

Invorce helps you create invoices, quotes, track time and expenses, manage customers, and accept payments. We also provide automated tax submission services to HM Revenue & Customs (HMRC) through Making Tax Digital integration.

We might need to update or change features from time to time to improve the service or fix issues. If we make major changes, we'll let you know in advance.

3. Your Account

When you create an account:

  • Please use real information - it helps us help you if something goes wrong
  • Keep your password secure - you're responsible for what happens with your account
  • You need to be 18 or older to use Invorce
  • If someone uses your account, we'll assume it's you, so keep it secure

4. Subscription and Billing

4.1 Free Plan

We offer a free plan with limited features, and we have no plans to remove it. We genuinely believe in keeping invoicing accessible for everyone, especially freelancers and people just starting out.

That said, we're aware that literally every service that ever removed their free plan also said they wouldn't. We get the irony. So while we truly intend to keep the free plan forever, we're being honest and transparent by reserving the right to modify or discontinue it with 30 days notice - just in case circumstances change in ways we can't predict right now.

If we ever do have to change the free plan, we promise to give you plenty of warning and explain exactly why. No rug pulls, no sudden changes. That's not how we operate.

4.2 Paid Subscriptions

  • Subscriptions are billed monthly in advance at £15/month
  • Payment is processed through Stripe
  • Subscriptions automatically renew unless cancelled
  • You can cancel your subscription at any time
  • No refunds are provided for partial months
  • Upon cancellation, you will be downgraded to the free plan

4.3 Fair Usage and Volume-Based Pricing

Let's be real: our £15/month pricing is designed for freelancers, sole traders, and small businesses. If you're running a multi-million pound operation through Invorce, that's awesome! But it also means you're getting incredible value compared to what we're charging.

Here's the thing - if a multi-million pound business used Invorce at £15/month, it would likely cost us more in server resources, database storage, bandwidth, and support than the £15 we're collecting. We'd literally lose money. Our pricing works because most of our users are small businesses with reasonable usage. Large-scale operations use significantly more resources, and we need to cover those costs to keep the lights on for everyone.

So here's our fair usage policy: If your business processes more than £250,000 in total invoice value per year through Invorce, we reserve the right to contact you to discuss moving to a higher pricing tier that better reflects your usage. We're not trying to gouge you - we just need to make sure large businesses pay enough to cover their actual costs and contribute fairly to the platform.

We'll always give you at least 30 days notice before any pricing changes take effect, and we'll work with you to find a fair arrangement. We're a small team building sustainable software, not a corporation trying to squeeze every penny out of you. So we will work with you to reach a fair price that works for both sides.

4.4 Price Changes

We may change our prices with 30 days notice. Price changes will apply to your next billing cycle.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Violate the intellectual property rights of others
  • Upload malicious code, viruses, or any harmful software
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use the Service to send spam or unsolicited communications
  • Impersonate any person or entity
  • Collect information about other users without consent
  • Create multiple free accounts to circumvent usage limits

6. Your Content and Data

6.1 Ownership

You retain all rights to the data you input into the Service. You grant us a license to use, store, and process your data solely to provide the Service.

6.2 Responsibility for Data Accuracy

You are solely responsible for the accuracy and legality of your data. We are not responsible for any loss or corruption of your data.

6.3 Tax Data Accuracy

You are solely responsible for the accuracy of all tax data submitted to HMRC through Invorce. While we provide the tools and secure infrastructure for automated tax submissions, you must verify all figures, calculations, and submissions before they are sent to HMRC.

We are not tax advisors or accountants. Invorce does not provide tax advice, and we make no representations about the accuracy of any tax calculations. If you are unsure about any aspect of your tax obligations, consult a qualified accountant or tax professional.

You acknowledge that errors in tax submissions can result in penalties from HMRC, and you agree that Invorce is not liable for any penalties, interest, or other consequences arising from incorrect tax submissions.

6.4 Tax Data Retention

UK law requires us to retain tax-related data (including VAT returns, HMRC audit logs, and related records) for a minimum of 7 years after the end of the relevant tax year. This data will be retained even if you delete your account or disconnect from HMRC. See our Privacy Policy for full details on data retention.

6.5 Backups

While we maintain regular backups, you are responsible for maintaining your own backups of critical data.

7. Intellectual Property

The Service, including all content, features, and functionality, is owned by Invorce and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

8. Termination

8.1 By You

You may terminate your account at any time through your account settings. Upon termination, you will lose access to your data.

8.2 By Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our discretion. We will provide notice when reasonably possible.

9. Disclaimers and Limitations of Liability

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 No Tax Advice Warranty

WE ARE NOT TAX ADVISORS OR ACCOUNTANTS. INVORCE MAKES NO WARRANTIES REGARDING THE ACCURACY OF ANY TAX CALCULATIONS, TAX SUBMISSIONS, OR TAX-RELATED FEATURES. YOU ARE SOLELY RESPONSIBLE FOR ENSURING COMPLIANCE WITH ALL TAX LAWS AND REGULATIONS.

9.3 HMRC Service Availability

We rely on HMRC's API services to provide tax submission features. We are not responsible for any downtime, errors, or changes to HMRC's services that may affect your ability to submit tax returns through Invorce. HMRC services may be unavailable during maintenance periods or technical issues beyond our control.

9.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVORCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

THIS INCLUDES, BUT IS NOT LIMITED TO, ANY HMRC PENALTIES, INTEREST CHARGES, TAX ASSESSMENTS, OR OTHER CONSEQUENCES ARISING FROM TAX SUBMISSIONS MADE THROUGH THE SERVICE, WHETHER DUE TO ERRORS IN YOUR DATA, OUR SOFTWARE, OR ANY OTHER CAUSE.

Our total liability to you for all claims arising from the Service shall not exceed the amount you paid us in the 12 months prior to the claim, or £100, whichever is greater.

10. If You Do Something Wrong

Here's what this means in plain English: If you use Invorce to do something illegal or harmful, and someone sues us because of it, you're responsible for that.

For example, if you send fraudulent invoices to people and they sue us, that's on you. This is fair because we can't control what you do with the platform.

Legal version: You agree to defend, indemnify, and hold harmless Invorce from claims arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party. This doesn't prevent you from suing us if we mess up - it just means you're responsible for your own actions.

11. Payment Processing

Payments are processed by Stripe. By using our payment features, you agree to Stripe's terms and conditions. We are not responsible for any issues arising from Stripe's services.

12. Data Protection and Privacy

12.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

12.2 HMRC Data Controller

For HMRC integration services, Invorce acts as the data controller under UK GDPR. This means we are responsible for protecting your HMRC data and ensuring compliance with data protection laws.

When you connect your account to HMRC, you explicitly authorize us to:

  • Access your HMRC data through their API
  • Store your HMRC OAuth tokens (encrypted)
  • Store your VAT Registration Number (VRN), and in future, your Unique Taxpayer Reference (UTR) and National Insurance Number (NINO)
  • Submit VAT returns and other tax data to HMRC on your behalf
  • Retain audit logs of all HMRC interactions for 7+ years as required by UK law

12.3 HMRC Connection Authorization

By connecting to HMRC through Invorce, you grant us permission to act on your behalf when communicating with HMRC's Making Tax Digital services. You can revoke this authorization at any time by disconnecting HMRC from your account settings. However, audit logs will be retained for the legally required period even after disconnection.

12.4 Data Security

We store all HMRC OAuth tokens using AES-256-GCM encryption. Your data is stored on secure servers located in Finland (EU/EEA), operated by Hetzner. We maintain comprehensive security measures in line with UK GDPR requirements. For full details, see our Privacy Policy.

13. Changes to These Terms

We might need to update these terms occasionally. If we make significant changes, we'll email you about it at least 30 days before they take effect. Small clarifications or bug fixes might happen without notice. If you keep using Invorce after we make changes, we'll assume you're okay with them.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of England and Wales.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
